Both parties agree to keep all confidential information received from the other party secret, only using it for the purposes of this agreement.

5. Term and Termination

5.1 These Terms shall remain in effect until terminated by either party.

5.2 The Service Provider may terminate these Terms if the Customer breaches any of the Terms.

5.3 Some provisions of these Terms will remain in effect even after termination.

6. Limitation of Liability

6.1 The Service Provider is not liable for any indirect, incidental, special, punitive, or consequential damages.

6.2 The Service Provider’s maximum liability shall not exceed the total amounts actually paid for the services.

7. Governing Law

7.1 These Terms shall be governed by and construed in accordance with the laws of the country in which the Service Provider is located.

7.2 Any disputes will be resolved in the courts of the country in which the Service Provider is located.

8. Changes to the Terms

The Service Provider reserves the right to modify these Terms at any time. Continued use of the services after changes constitutes acceptance of the new Terms.

10. Entire Agreement

These Terms constitute the entire agreement between the Customer and the Service Provider, superseding any other prior or contemporaneous agreements.

12. Waiver

No failure or delay by the Service Provider in exercising any right under these Terms shall operate as a waiver of such right.

13. Indemnity

The customer agrees to indemnify and hold the Service Provider harmless from any claims, damages, losses, liabilities, costs, and expenses, arising out of or related to the customer’s use of the services.

14. Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms due to circumstances beyond its reasonable control, including but not limited to acts of God, war, riot, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

15. Assignment

These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by the customer, but may be assigned by the Service Provider without restriction.

16. Compliance with Laws

The customer agrees to comply with all applicable laws, regulations, and ordinances related to their use of the services.

17. Dispute Resolution

In the event of any dispute arising out of or in relation to these Terms, the parties will first attempt to resolve the dispute through mutual discussion. If the dispute is not resolved within a reasonable period, then the dispute shall be settled by arbitration.

18. Notices

Any notices or other communications required hereunder shall be in writing and emailed to the other party’s designated contact.

19. No Third-Party Beneficiaries

These Terms are for the benefit of, and will be enforceable by, the parties only. These Terms are not intended to confer any right or benefit on any third party.

20. Acknowledgment

By using the services, you acknowledge that you have read these Terms and agree to be bound by them.
